Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Description of the Service

WYN is a multi-tenant SaaS platform that helps marketers and agencies define a brand voice, ingest content from sources such as RSS feeds and YouTube channels, generate draft posts using artificial intelligence, review and approve those drafts, and publish approved posts to connected social media platforms via a self-hosted publishing relay.

3. Account Requirements

• You must be at least 16 years old to use the Service.
• You must provide accurate, current, and complete account information and keep it updated.
• You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account.
• You may maintain only one personal account. Workspaces (tenants) may include multiple invited team members under role-based access controls.
• You must promptly notify us of any unauthorized use of your account.

4. Your Responsibilities

You are solely responsible for reviewing every AI-generated draft before approving it, and for the legality, accuracy, originality, and appropriateness of any content you publish through the Service. WYN provides tools that produce drafts; you decide what gets published. You are responsible for ensuring that the content you publish complies with the rules of each destination social platform, with applicable advertising and disclosure laws, and with the rights of any third parties.

5. Acceptable Use

You agree not to use the Service to:

• Send spam, unsolicited bulk messages, or engage in deceptive marketing.
• Impersonate any person, brand, or organization, or misrepresent your affiliation.
• Publish or generate content that is unlawful, defamatory, harassing, hateful, sexually explicit involving minors, or that incites violence.
• Infringe any copyright, trademark, trade secret, publicity, or other intellectual property right.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Probe, scan, or test the vulnerability of the Service or breach any security or authentication measures.
• Use the Service to build a competing product.
• Interfere with or disrupt the integrity or performance of the Service or the data it contains.

6. Subscriptions, Billing, and Refunds

• Paid plans are billed in advance on a recurring monthly or annual basis through Stripe.
• Subscriptions automatically renew at the end of each billing period until cancelled.
• You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
• Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused features, or downgrades.
• We may change pricing or plan features. Changes that affect your active subscription will be communicated by email at least 30 days in advance.
• If a payment fails, we may suspend or terminate your access until the balance is paid.

7. Intellectual Property

Your content

You retain all ownership rights in the brand inputs, source configurations, and other content you provide to the Service (“Your Content”). You grant WYN a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and modify Your Content solely as necessary to provide the Service to you, including by passing it to AI providers and social publishing platforms at your direction.

Generated output

Subject to your compliance with these Terms and to the rights of third parties, you own the AI-generated drafts produced for your account. You acknowledge that AI output is non-deterministic and that similar or identical output may be generated for other users.

Our platform

WYN and its licensors retain all right, title, and interest in and to the Service, including all software, designs, models, prompts, workflows, and documentation. No license is granted except as expressly stated in these Terms.

8. AI-Generated Content Disclaimer

The Service uses third-party large language models and image generation models to produce drafts. AI output may be inaccurate, incomplete, biased, offensive, or may inadvertently reproduce copyrighted or trademarked material. WYN does not guarantee that AI-generated content is accurate, original, non-infringing, or fit for any particular purpose. You are responsible for reviewing, editing, fact-checking, and approving all generated content before it is published. Your decision to approve a draft constitutes your acceptance of that content as your own publication.

9. Termination

You may terminate your account at any time from Settings → Danger Zone, which will remove your data in accordance with our Privacy Policy. We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms, if your use poses a security or legal risk to us or to other users, or if your account becomes delinquent. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WYN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY GENERATED CONTENT WILL MEET YOUR REQUIREMENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WYN AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WYN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless WYN and its officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your Content or any content you publish using the Service; (b) your violation of these Terms; (c) your violation of any third party right, including any intellectual property, privacy, or publicity right; or (d) your violation of any applicable law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Service that cannot be resolved through good-faith negotiation will be resolved by binding individual arbitration administered under the rules of a recognized arbitration body in Delaware. To the fullest extent permitted by law, you and WYN each waive the right to participate in class actions, class arbitrations, or representative actions. Notwithstanding the foregoing, either party may bring an individual action in small-claims court or seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify active users by email and/or by posting a prominent notice in the application before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of them.

15. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WYN regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them freely.
